BREAKER BOARD PRO - CUSTOMER SOFTWARE LICENSE License Version: 1.0 Effective Date: October 27, 2026 Copyright 2026 BlackRidge LLC, doing business as BlackRidge IT. All rights reserved. This Customer Software License Agreement ("Agreement") governs use of Breaker Board Pro ("Software") acquired through an Authorized Purchase. It is between BlackRidge LLC, an Arkansas limited liability company doing business as BlackRidge IT ("BlackRidge"), and the customer defined below. BEFORE INSTALLING: Read this Agreement, including the refund policy and limitations of liability. The Windows installer asks you to affirmatively accept this Agreement before installation. If you do not accept it, do not install, activate, or use the Software. Section 7 explains the voluntary 14-day refund path for rejecting these terms before activation. 1. DEFINITIONS AND PURCHASE RELATIONSHIP "Authorized Purchase" means a legitimate, fully paid purchase of a Breaker Board Pro license from BlackRidge or a reseller or merchant of record authorized by BlackRidge. The customer's order confirmation or receipt identifies the applicable transaction. "You" means the individual or business making the Authorized Purchase. An individual accepting this Agreement for a business represents that they have authority to bind that business. The business may allow employees and contractors to operate its licensed installation, but not to install and activate separate simultaneous copies. "Purchased Major Version" means the Software's numbered major release identified in the purchase. A purchase of version 1 includes use of version 1.0.0 and other released 1.x updates made available by BlackRidge under that purchase. It does not include a future 2.x release unless BlackRidge separately offers or grants that upgrade. "Activated Installation" means one activated Windows user profile on one Windows computer using the Software's locally protected activation record. A separate Windows profile, replacement computer, or missing binding may require a new activation request and license reissue. Where an authorized merchant of record handles a transaction, that merchant is the seller or authorized reseller for the payment transaction and administers checkout, collection, applicable transaction taxes, and payment refunds under the terms presented to the buyer. BlackRidge remains the Software developer, licensor, and product-support contact. 2. LICENSE GRANT AND DEVICE LIMIT Subject to an Authorized Purchase and compliance with this Agreement, BlackRidge grants You a perpetual, limited, non-exclusive, non-transferable license to install and use the Purchased Major Version for Your own breaking, production, and broadcast operations. One Authorized Purchase permits one Activated Installation at a time. Reasonable archival and backup copies are allowed, but this does not permit a second active activation or license sharing. All ownership rights not expressly granted remain with BlackRidge. Breaker Board Pro v1.0.0 is designed to run on the same Windows computer as the OBS Browser Sources displaying its local output. A direct networked Browser Source connection to a different OBS computer is not supported. Merely receiving a separate video feed produced by the licensed computer does not by itself require another Software license; installing and activating BBP on a second computer does. 3. ACTIVATION, REISSUES, AND RESTRICTIONS To activate, run the Windows application, select Copy Request, and email the activation request and purchase order reference to support@blackridgeit.net. BlackRidge manually verifies the purchase and issues a license.bbpro file for import using Import License. Activation is not instantaneous or automated. Normal local operation after activation requires no BlackRidge account, subscription, recurring Internet connection, or activation heartbeat during the Purchased Major Version. Broadcasting through a third-party platform may still require Internet access. Legitimate replacement-computer, failed-drive, reinstalled-Windows, or user-profile changes may require a new request. Reasonable verified reissues are included, provided the previous installation is no longer in active use. BlackRidge may request the order reference, new activation request, and reasonable confirmation of replacement or discontinued use. BlackRidge may decline unverifiable or reasonably suspected abusive activation or reissue requests, subject to Section 7 and applicable law. You may not redistribute, resell, sublicense, rent, publish, share, transfer, or supply copies of the Software or included BlackRidge assets to another person or business; share an activation file to activate another person's installation; intentionally bypass licensing controls; or remove or misrepresent ownership notices. You may not reverse engineer, decompile, or disassemble the Software except to the extent applicable law expressly permits, despite this restriction. Additional simultaneously activated Windows installations require separate licenses unless BlackRidge agrees otherwise in writing. 4. CUSTOMER DATA, ARTWORK, AND BROADCAST RESPONSIBILITY You own Your break data. BlackRidge claims no ownership in Your buyer names, prices, records, or exported reports. Working break data and customer-imported artwork are stored locally; You are responsible for reviewing information and maintaining suitable backups. Breaker Board Pro is a display and organization tool. It is not a payment processor, randomizer, independent sale ledger, or authoritative record of any marketplace transaction or externally generated result. You are responsible for verifying buyer assignments, spot availability, prices, ownership, imported data, and displayed results before and during broadcast. Where applicable, the original marketplace, payment, and transaction records control over any conflicting Software display. You are responsible for the applicable laws and marketplace rules for Your breaks and broadcasts. Artwork that You import remains subject to the rights of its owner. Official league and team logos are not bundled. This Agreement grants no rights to third-party marks, images, or logos. You must have permission to use imported assets. BlackRidge-created branding, included assets, and Software code remain BlackRidge property. 5. THIRD-PARTY SERVICES AND PLATFORM LIMITATIONS The Software is not affiliated with, sponsored by, or endorsed by Whatnot or any other marketplace, league, team, card manufacturer, or broadcast platform unless BlackRidge expressly confirms otherwise in writing. The Software does not conduct sales, process marketplace transactions, perform external randomization, capture video, or control third-party services. Third-party availability, policies, and account restrictions are outside BlackRidge's control. 6. UPDATES, DELIVERY, AND SUPPORT BlackRidge includes maintenance, bug-fix, and other 1.x updates that it actually releases for the Purchased Major Version. No particular future feature, number of updates, release date, or uninterrupted support service is guaranteed. A future major version may have separate purchase or upgrade terms. No forced auto-update is promised. A "Trusted Delivery Source" means a secure download made available through the Authorized Purchase receipt or an official download link issued by BlackRidge. Before updating, export a data backup, exit the application, and use the replacement installer from that source. The purchase includes reasonable help with installation, manual activation and legitimate reissues, normal Software troubleshooting, the documented OBS Browser Source setup, bug reports, and supported local-state recovery guidance. Full OBS production design, unrelated OS/network repair, marketplace account support, custom artwork, third-party services or randomizers, features, and premium Theme Packs are outside the base purchase. Contact support@blackridgeit.net. No 24/7 availability or specific response-time guarantee is given. 7. DIGITAL-SOFTWARE REFUNDS AND REJECTION OF TERMS If You reject this Agreement, do not activate or use the Software. For an Authorized Purchase, if You request a refund within 14 calendar days after purchase and before successful activation, BlackRidge will approve a refund for rejection of these terms and assist with its processing through the applicable merchant of record. Send the order reference to support@blackridgeit.net or use the purchase provider's refund-request channel. Payment processing and refund timing are administered by the purchase provider. For delivery defects, inability to activate a legitimate purchase, material Software problems, or duplicate purchases, contact support with Your order reference. BlackRidge will review the issue and offer reasonable correction, replacement, support, or an appropriate refund. These are the ordinary contractual remedies for Software defects, subject to applicable consumer rights and the merchant's terms. A change-of-mind refund after successful delivery and activation is not automatic under BlackRidge's voluntary policy. The authorized merchant of record may issue refunds or reverse transactions under its own purchase terms or applicable law, including where its policy is more generous. This Agreement does not limit any statutory refund, cancellation, withdrawal, warranty, or other rights that cannot legally be waived. If a purchase is fully refunded, charged back, or reversed, the license for that purchase terminates to the extent legally permitted; You must stop using that copy. 8. WARRANTY DISCLAIMER, LIMITATION OF LIABILITY, AND RISK TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." BLACKRIDGE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT GUARANTEE ERROR-FREE OPERATION, UNINTERRUPTED BROADCASTING, OR ACCURATE THIRD-PARTY INPUT DATA. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKRIDGE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, LOST DATA, BUSINESS INTERRUPTION, OR LOSSES FROM AN INCORRECT BROADCAST DISPLAY, EVEN IF ADVISED THAT SUCH LOSSES WERE POSSIBLE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKRIDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT, REGARDLESS OF THE LEGAL THEORY, WILL NOT EXCEED THE AMOUNT ACTUALLY PAID FOR THE SOFTWARE LICENSE GIVING RISE TO THE CLAIM. NOTHING IN THIS SECTION EXCLUDES OR RESTRICTS LIABILITY, WARRANTIES, REMEDIES, OR OTHER RIGHTS THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED. THE CORRECTION, REPLACEMENT, AND REFUND APPROACH IN SECTION 7 DOES NOT PURPORT TO REMOVE NON-WAIVABLE REMEDIES. 9. PRIVACY AND LICENSE RECORDS The Software stores working break data and local activation files in Your Windows user profile and does not require an account, telemetry, cloud sync, or a recurring license heartbeat for ordinary local use. BlackRidge receives order details, activation requests, and support information when You or the purchase provider supply them for those purposes. Activation requests include a derived device-binding value and request identifier, not a raw device secret. The BlackRidge privacy notice for purchase, activation, and support data is at: https://blackridgeit.net/breaker-board-pro-privacy.html A merchant of record may separately process payment and buyer data under its own privacy notice. 10. TERMINATION AND CONTINUING PROVISIONS This license automatically terminates, to the extent permitted by applicable law, if You materially breach the restrictions in Section 3 or the Authorized Purchase is fully refunded or reversed. Upon termination, stop using the Software and delete working copies, except for records that law requires You to keep. BlackRidge may consider reinstatement after a remediable breach is cured and verified. The provisions on retained intellectual-property ownership, customer data and artwork responsibility, accrued payment/refund obligations, warranty and liability limitations, privacy and records, governing law, and dispute-related terms survive termination to the extent applicable. Termination does not remove non-waivable legal rights. 11. GOVERNING LAW, SEVERABILITY, AND ASSIGNMENT To the extent permitted by applicable law, Arkansas law governs this Agreement, without regard to conflict-of-law rules. This provision does not remove mandatory consumer protections that apply at Your place of residence or purchase. This Agreement does not impose an exclusive county-specific court venue. If a provision is unenforceable, the remaining provisions continue to apply to the extent legally possible. BlackRidge may assign this Agreement in connection with a sale, reorganization, or transfer of the Software or its business, while preserving existing customer license rights. You may not transfer the license to another person or business except as BlackRidge expressly agrees in writing or as applicable law requires. 12. VERSIONED TERMS AND ENTIRE AGREEMENT License Version 1.0 applies to Authorized Purchases made on or after the Effective Date unless the customer separately accepts a later agreement. Revised license terms apply to new purchases or separately accepted upgrades, not automatically or retroactively to an existing perpetual v1 license. A separate written agreement expressly approved by BlackRidge may control for a specific purchase. This Agreement governs use of the Software; a merchant of record's buyer terms govern its distinct payment transaction. Mandatory consumer rights remain unaffected.
